1. Acceptance of Terms. Millennial Pool Management LLC (“Millennial Pools,” “we,” “us,” or “our”) provides access to its website and related services subject to these Terms of Use (“Terms”), which govern your access to and use of the website and any services, content, or materials made available through it (collectively, the “Services”); by accessing or using the Services, you acknowledge that you have read, understand, and agree to be legally bound by these Terms and our Privacy Policy, and if you do not agree, you must not use the Services.
2. Arbitration Agreement and Class Action Waiver. These Terms include a mandatory arbitration agreement requiring that most disputes be resolved through final and binding individual arbitration rather than in court, waiving the right to a jury trial or participation in class, collective, consolidated, or representative actions, unless you timely opt out as provided herein. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through individual arbitration governed by the Federal Arbitration Act, administered by the American Arbitration Association under its Consumer Arbitration Rules, with the arbitrator having exclusive authority to resolve issues of arbitrability, enforceability, and interpretation; exceptions apply for qualifying small claims actions and for seeking injunctive or equitable relief to protect intellectual property rights. You may opt out of the arbitration agreement by sending written notice within thirty (30) days of first accepting these Terms, including your name, mailing address, signature, and a clear statement of intent to opt out, delivered by mail to Millennial Pool Management LLC, 1041 Glassboro Road, Suite A3, Williamstown, NJ 08094, or by email to
legal@millennialpools.com, and opting out will not affect the remaining provisions of these Terms.
3. Intellectual Property Rights. All content available through the Services, including text, images, graphics, logos, videos, software, trademarks, and other materials (“Content”), is owned by or licensed to Millennial Pool Management LLC and is protected by applicable intellectual property laws, and no rights are granted except a limited, non-exclusive, non-transferable license to access and use the Services for lawful, personal, and non-commercial purposes; you may not copy, distribute, modify, or exploit any Content without prior written consent.
4. User Content Ownership and License. You retain ownership of any content you submit through the Services (“User Content”), but by submitting User Content you grant Millennial Pool Management LLC a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content solely in connection with operating and providing the Services, and you represent and warrant that you own or have all necessary rights to your User Content and that it does not violate any law or third-party rights.
5. Acceptable Use and Prohibited Conduct. You agree to use the Services only for lawful purposes and not to violate applicable laws, infringe intellectual property or privacy rights, upload harmful, misleading, or objectionable material, interfere with the operation or security of the Services, or engage in conduct that could harm Millennial Pool Management LLC or others.
6. Third-Party Websites. The Services may contain links to third-party websites, which are provided for convenience only and are not controlled by or the responsibility of Millennial Pool Management LLC, and your use of such sites is at your own risk.

8. Disclaimers. The Services and Content are provided “as is” and “as available,” without warranties of any kind, and to the maximum extent permitted by law, Millennial Pool Management LLC disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability. To the fullest extent permitted by law, Millennial Pool Management LLC shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from or related to your use of the Services, and our total liability shall not exceed the amount you paid, if any, to access the Services.
10. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.
11. Termination of Access. Millennial Pool Management LLC may suspend or terminate access to the Services at any time for any reason, and provisions relating to arbitration, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and severability shall survive termination.
12. Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
13. Severability. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
14. Indemnification. You agree to indemnify and hold harmless Millennial Pool Management LLC and its affiliates, officers, employees, and agents from any claims, losses, liabilities, or expenses arising out of your use of the Services or violation of these Terms.
15. Service Availability and Delays. The Services may be subject to interruptions, delays, or limitations, and Millennial Pool Management LLC does not guarantee availability at all times.
16. Changes to Terms and Website. Millennial Pool Management LLC may modify these Terms or the Website at any time, and continued use of the Services constitutes acceptance of the updated Terms.
17. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Millennial Pool Management LLC regarding the Services.
